1. Agreement to these terms

These Terms of Service ("Terms") are a contract between you and Long Path Ventures LLC. They cover your use of suolaa.com (the "Site") and anything you buy from us through it.

By browsing the Site, creating an account, or placing an order, you agree to these Terms. If you do not agree, please do not use the Site or order from us.

If these Terms conflict with one of those pages on a point that page covers, that page controls.

2. Who we are

Suolaa is a brand of Long Path Ventures LLC, a New York limited liability company (New York DOS ID 7860413, formed March 16, 2026). Suolaa is not a separate company. When these Terms say "we," "us," or "Suolaa," they mean Long Path Ventures LLC.

3. Eligibility

You must be at least 18 years old, or the age of majority where you live if that is older, to buy from us or to hold an account. By ordering, you confirm you meet that requirement and that the payment method you use is yours to use.

This product is not formulated or intended for children. See Section 12 for the full health and safety disclaimers.

We sell and ship to all United States states, the District of Columbia, and APO/FPO/DPO addresses. International shipping is quoted on request. Email salty@suolaa.com for a quote. See the Shipping Policy page for the details.

4. The Site and your account

You may need an account to manage a subscription or view order history. Accounts are optional: you can check out as a guest, or create an account to manage subscriptions and see past orders.

If you have an account:

  • Give us accurate information and keep it current.
  • Keep your login details private. You are responsible for activity under your account.
  • Tell us at salty@suolaa.com if you believe someone else is using it.

We may suspend or close an account that is being used for fraud, abuse, or anything covered in Section 8.

We work to keep the Site available and accurate, but we do not promise it will always be online, error free, or free of interruption.

5. Orders, pricing, and payment

Your order is an offer. When you place an order, you are making an offer to buy. A contract forms when we accept the order, which normally happens when we send a shipping confirmation. An order confirmation email is an acknowledgment that we received your order, not an acceptance.

Prices. All prices are shown in US dollars. Applicable sales tax is calculated and shown at checkout. Shipping and any duties are also calculated and shown before you pay. Prices and promotions can change at any time and do not apply to orders already placed.

Payment. You authorize us and our payment processors to charge the payment method you provide for the full amount shown at checkout, including tax and shipping. Card payments are processed by Shopify Payments. We do not store or see your full card number. Subscription billing is managed through Appstle.

Pricing and description errors. We try hard to get every price, image, and product description right. Sometimes something is wrong anyway. If a product is listed at an incorrect price or with a materially incorrect description, we may cancel the order even after you have been charged, and we will refund you in full. If the error is obvious, we will not be required to honor it. We will contact you at the email on the order before we cancel.

We may refuse or cancel an order. We may limit quantities, decline an order, or cancel an accepted order, including when we suspect fraud, when we cannot verify billing details, when a reseller is buying at volume against our terms, or when we are out of stock. If we cancel and you have paid, you get a full refund of the amount charged.

Products. Suolaa is a powdered electrolyte drink mix in single-serve stick packs, sold in cartons of 30 sticks. It is meant to be mixed into water and drunk. Current formats include single cartons, 3-packs, and 6-packs. The price that applies to your order is always the price shown at checkout at the time you place it.

6. Subscriptions and recurring billing

If you sign up for Subscribe and Save, here is exactly what you are agreeing to.

You are authorizing a recurring charge. By starting a subscription, you authorize us to charge your payment method automatically on the cadence you chose, at the price shown at checkout, until you cancel. This continues until you cancel it.

Cadence. You choose how often we ship and bill: every 1, 2, 3, 4, or 6 months. You can change the cadence in your account.

Price. The subscription price is the price shown at checkout when you sign up. If we raise the price of your subscription, we will email you at least 30 days before the new price applies to one of your charges, so you have time to change your cadence or cancel first.

Renewal notice. We send a reminder email three days before each scheduled charge, so you are never surprised.

Skip, pause, or cancel any time. You can skip a single shipment, pause your subscription, or cancel it outright at any time from your account, with no phone call, no email, and no retention conversation required. You can also email salty@suolaa.com if you would rather we do it for you. Do it before the charge processes. If an order has already been charged and processed, that order will still ship, and the change applies to the ones after it.

Your automatic-renewal rights. Because this is an automatic-renewing subscription, and regardless of where you live:

  • Before you subscribe, we show you the cadence, the price, the fact that it renews until you cancel, and how to cancel, on the checkout page next to where you agree to it.
  • We charge you only after you have affirmatively agreed to those terms. Adding a product to your cart is not agreement; selecting the subscription option and completing checkout is.
  • After you subscribe, we email you an acknowledgment that repeats those terms and the cancellation instructions, in a form you can keep.
  • If you signed up online, you can cancel entirely online, at any time, without having to take any further step.

Failed payments. If a charge fails, we may retry it and may pause or end the subscription. We will email you.

7. Shipping and risk of loss

Shipping methods, timing, costs, and destinations are covered on our Shipping Policy page. Delivery estimates are estimates, not guarantees.

Title and risk of loss pass to you when the carrier delivers the package to the address you gave us. If a package arrives damaged, or if tracking says delivered and it is not there, email salty@suolaa.com and we will work it out with you.

You are responsible for giving us a correct, complete address. If a package is undeliverable because of an address error, see the Shipping Policy for what happens next.

8. Refunds

We have a keep the box policy. If Suolaa is not right for you, we refund you in full and you keep the product. We do not ask you to ship anything back to us. Ever.

The full terms, including the 30 day window from delivery and the one keep-it refund per customer limit, are on our Refund Policy page. That page is the controlling document for refunds.

Refunds go back to the original payment method.

9. Acceptable use

Please use the Site normally and in good faith. Do not:

  • Break the law, or use the Site to help someone else break it.
  • Buy for resale, or list our products on a marketplace or storefront, without our written permission.
  • Scrape, crawl, harvest, or bulk-download the Site, or use bots against it, except for ordinary search engine indexing.
  • Try to break, probe, or get around the Site's security, or access accounts, data, or systems that are not yours.
  • Upload malware or anything designed to damage or disrupt.
  • Interfere with other customers' use of the Site.
  • Misrepresent who you are, or use someone else's payment method.
  • Copy the Site, our copy, our design, or our photography for a competing product.

If you do any of this, we may cancel orders, close your account, block your access, and pursue whatever legal remedies are available.

10. Intellectual property and the Suolaa marks

Everything on the Site is ours or licensed to us: the name Suolaa, our logos, our packaging and label design, our product photography, our copy and editorial content, our recipes and formula, and the look and feel of the Site. This is protected by copyright, trademark, trade dress, and other laws.

SUOLAA is the subject of a pending US trademark application (Serial No. 99943886, filed July 16, 2026, International Class 005, intent-to-use). It is not yet a registered mark, so we use ™ and never ®. That changes only if and when the application registers.

We give you a limited, personal, revocable, non-transferable license to view and use the Site to shop and manage your orders. That is it. You may not copy, reproduce, republish, sell, or make derivative works from our content without our written permission. You may not use the Suolaa name or logo in a way that suggests we endorse or are affiliated with you.

Nothing on the Site transfers any ownership to you.

11. User content and reviews

If you post a review, a rating, a photo, a comment, or anything else to the Site or to a Suolaa page we control ("User Content"), these rules apply.

You keep ownership. You continue to own your User Content.

You give us a license. You grant us a worldwide, non-exclusive, royalty free, perpetual, irrevocable, sublicensable, transferable license to use, host, store, reproduce, adapt, publish, and display your User Content in connection with Suolaa and our marketing, in any media, with attribution to the name or handle you posted under.

You promise it is yours to post. You confirm that your User Content is your own, that it does not infringe anyone's rights, and that it does not violate Section 9.

Reviews must be honest. Do not post a review if you were paid for it, given free product for it, or otherwise compensated, unless you clearly disclose that in the review itself.

We can moderate. We may edit for length or typos, decline to post, or remove User Content for any reason. We are not obligated to monitor it. User Content reflects the person who wrote it, not us.

Feedback. If you send us an idea or suggestion, we can use it freely, with no obligation and no payment.

12. Health and safety disclaimers

Read this section. It is the most important one on this page.

FDA statement. These statements have not been evaluated by the Food and Drug Administration. This product is not intended to diagnose, treat, cure, or prevent any disease.

This is a food, not a medicine. Suolaa is a dietary supplement and a beverage mix. It is not a drug, not a medical device, and not a medical product. It is not a treatment for dehydration, heat illness, heat stroke, hyponatremia, cramping, hangovers, or any medical condition. It is not a substitute for medical care. If you think you are having a medical emergency, call emergency services.

High sodium. Take this seriously. Each stick contains 1,000mg of sodium, which is a substantial portion of a typical adult's recommended daily sodium intake. Sodium adds up across everything else you eat and drink that day. Suolaa is not appropriate for everyone, and more is not better.

Talk to a doctor first. Consult a physician before using Suolaa, and especially if you:

  • are pregnant or nursing
  • are under 18
  • have high blood pressure
  • have kidney disease or reduced kidney function
  • have a heart condition
  • are on a sodium-restricted or potassium-restricted diet
  • take any medication that affects blood pressure, fluid balance, or electrolytes
  • have any other medical condition or concern

Ingredients and allergens. Each stick contains sodium (1,000mg), potassium (200mg), and magnesium (60mg, as magnesium citrate), along with stevia leaf extract, salt, citric acid, and natural flavors. It has 0g sugar, 0g carbohydrate, and 0 calories. Read the full label on the carton before you use the product, and read it again if we update the formula. If you have a food allergy or sensitivity, check the label first. Suolaa is manufactured on shared equipment that also processes milk and wheat. If you have any adverse reaction, stop using the product immediately and seek medical advice.

Saunas carry their own risks. Sauna and bathhouse use involves real risk, including overheating, dehydration, fainting, low blood pressure, and cardiac events. Suolaa does not make sauna use safe. It does not make a longer session safe. It does not extend how long you can safely stay in heat. We do not supervise, control, or advise on how you use a sauna, steam room, or bathhouse, and we are not responsible for what happens there. Follow the venue's rules, listen to your body, and get out when you need to.

Individual results vary. Nothing on the Site, in our marketing, on social media, or in a customer review is a promise of a specific result.

13. Disclaimer of warranties

To the fullest extent the law allows, the Site and the products are provided "as is" and "as available." We disclaim all warranties that are not written into these Terms, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Site will be uninterrupted, secure, or error free, or that any content on it is complete or current.

Some places do not allow these disclaimers. If you live somewhere that does not, this section applies to you only as far as the law there allows, and your statutory rights as a consumer are not affected.

14. Limitation of liability

To the fullest extent the law allows:

We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or loss of goodwill, arising out of or relating to these Terms, the Site, or the products, even if we were told such damages were possible.

Our total liability for all claims relating to these Terms, the Site, or a product is limited to the amount you actually paid us for the product that the claim is about.

Nothing in this section limits liability that cannot be limited by law. That includes liability for death or personal injury caused by our negligence, for fraud, for fraudulent misrepresentation, and for anything else a court will not allow us to disclaim.

Some places do not allow these limits. If you live somewhere that does not, this section applies only as far as the law there allows.

15. Indemnification

You agree to defend, indemnify, and hold harmless Long Path Ventures LLC and its members, officers, employees, and agents from any claim, loss, liability, damage, or expense, including reasonable attorneys' fees, arising out of: your misuse of the Site or a product, your violation of these Terms, your violation of any law, your violation of anyone else's rights, or your User Content.

We may take over the defense of any such claim at our own expense, and if we do, you agree to cooperate with us.

16. Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. The UN Convention on Contracts for the International Sale of Goods does not apply.

Where disputes go. Any dispute arising out of or relating to these Terms, the Site, or a product will be brought in the state or federal courts sitting in Kings County or New York County, New York. You and we each agree to the personal jurisdiction of those courts and waive any objection that they are an inconvenient forum.

Nothing here stops either of us from bringing an individual claim in a small-claims court that has jurisdiction.

Before filing anything, please email salty@suolaa.com and give us 30 days to fix it. Most things are a refund and an apology, and we would rather do that than litigate.

17. Changes to these Terms

We may update these Terms. When we do, we will change the "Last updated" date at the top and post the new version here. If a change is material, we will give you more direct notice, such as an email to subscribers or a notice on the Site.

Changes apply going forward. The version of these Terms in effect when you placed an order governs that order.

If you keep using the Site after an update takes effect, you are accepting the updated Terms.

18. General

Whole agreement. These Terms, plus the Refund Policy, the Shipping Policy, the Privacy Policy, and the Cancellations page, are the entire agreement between you and us about the Site and your purchases, and they replace any earlier understanding on the same subject.

If one part fails. If a court finds any part of these Terms unenforceable, that part is narrowed or removed and the rest stays in effect.

No waiver. If we do not enforce a right, that does not mean we gave it up.

Assignment. You may not assign these Terms without our written consent. We may assign them, including in a sale of the business.

Force majeure. We are not liable for delays or failures caused by events outside our reasonable control, including natural disasters, carrier failures, supply chain disruption, labor actions, and government action.

No third-party beneficiaries. These Terms do not give rights to anyone other than you and us.

Headings. Section titles are for reading convenience and do not affect meaning.
